The Club Constitution

The name of the Club shall be known as ‘Derby Phoenix Swimming Club’ and the Club colours shall be ‘Green and Yellow’.

The objectives of the Club shall be those of the Amateur Swimming Association (A.S.A.), Namely the promotion and instruction in the arts of swimming, diving, synchronised
swimming and water polo.

The Club shall be affiliated to the Amateur Swimming Association Midland District and to such other bodies as the Annual General Meeting may decide. The Club shall be conducted in accordance with the laws of the A.S.A. and members shall conform to committee instructions. All competing members shall be amateurs as defined by A.S.A. laws except those competing in Masters competitions.

The Annual General Meeting (A.G.M.) shall be held during October and November each year on a date fixed by the Management Committee.
A Special General Meeting (S.G.M.) shall be held at the expressed or written request of the majority of the Management Committee as defined in Rule 5 or within 28 days of the receipt by the Hon. Secretary of a written request from at least 10 voting members. Such a meeting to deal only with the matter of which notice is given in the request.
Each member entitled to vote shall be given notice of an A.G.M. or S.G.M. no later than Fourteen days before the date of the meeting. Such notice shall include an agenda containing all items for discussion and decision.
Additions, deletions or alterations to the Constitution shall only be made at the A.G.M. and Any proposals for such items shall be submitted to the Hon. Secretary before 30th September.
The quorum at a General Meeting shall be 20 voting members. By special notice from the Management Committee, members less than fourteen years of age on 31st December in the Year in which the A.G.M. is held, may vote on matters as identified by the Management Committee.
The Officers and Management Committee shall be elected at the A.G.M. Officers shall consist of the Chairman, Hon. Secretary and Hon. Treasurer.
The honorary auditor shall be elected at the A.G.M.
The Club’s accounts shall close on 30th September in each year and shall be audited and Submitted to the A.G.M.

The Club shall be managed by a Management Committee composed of the Officers and other members elected at the A.G.M.
The quorum shall be half of the elected Officers.
The Management Committee shall meet (at least once in each month) and at such times as The Management Committee, in consultation with the Hon.
Secretary, may deem necessary. The Management Committee shall have power to co-opt and shall have authority to appoint a special purpose, with or without power to act. The Management Committee shall have authority to make regulations within the Constitution and A.S.A. laws.

Candidates for membership of the Club shall complete the application form which, together With the appropriate fee, shall be submitted to the Hon. Treasurer for acceptance by the
Management Committee. On application, they shall declare existing membership of other swimming clubs.
The membership fee and annual subscription, which becomes due on 1st October and must be paid before 31st October, shall be fixed by the Management Committee. Admission to the Club sessions shall be as determined by the Management Committee.
Any member wishing to resign must give notice in writing to the Hon. Secretary before 30th September or will be liable for the ensuing year’s subscription.
All competing members, who are eligible for A.S.A. registration, will be registered by the Hon. Secretary and the registration fee included in the annual subscription.
The club respects the rights, dignity and worth of every person and will treat everyone equally within the context of their sport, regardless of age, ability, gender, race, ethnicity, religious belief, sexuality or social/economic status.

All funds and other property of the Club shall be applied to the furtherance of the objects of the Club. No funds or other property of the Club shall be paid or distributed among members of the Club except as allowed by the A.S.A. law relating to expenses. In the event of the dissolution of the Club, the assets remaining shall be devoted to objects similar to those of the Club.
